Rules and Regulations

CONTEST DESCRIPTION: The Alouette® “Make Every Occasion Perfect™” Recipe Contest (the "Contest") by BC-USA, Inc. (“Sponsor”) is a skills based contest open only to legal residents of the 50 United States and District of Columbia (D.C.) who are 18 years of age or older at time of entry. In order to participate in the Contest, entrants must submit a recipe consisting of an Alouette® Spreadable Cheese product, no more than five additional ingredients and an explanation of the amount of ingredients used and how to prepare them. Additional important details concerning the Contest are provided below.
  1. ENTRY PERIOD. The Contest begins at 12:00:00 a.m. Eastern time on November 15, 2006 and ends at 11:59:59 p.m. Eastern time on May 1, 2007 (“Entry Period”).

  2. NO PURCHASE NECESSARY. There is no cost to enter the Contest. No purchase is necessary. A purchase will not increase an entrant's chance of winning.

  3. ELIGIBILITY: Contest participation is open only to legal residents of the 50 United States and District of Columbia (D.C.) who are 18 years of age or older at time of entry. Employees of BC-USA, Inc. (“Sponsor”), its agents, affiliates, subsidiaries, advertising and promotion agencies, printers, judges, and online providers and each of their respective affiliates, and members of the immediate families or households of any of the above (collectively, the “Sponsor Entities”) are not eligible to participate. Void in Puerto Rico and wherever prohibited or restricted by law, and subject to all federal, state and local laws and regulations. By entering this Contest, you agree to be bound by these official rules. Participants who do not agree to these official rules should not enter this Contest. All materials submitted become the property of Sponsor and will not be returned. VOID WHERE PROHIBITED.

  4. TWO WAYS TO ENTER: To enter the Contest, submit a recipe that contains an Alouette® Spreadable Cheese product, no more than five ingredients in addition to the Alouette® Spreadable Cheese product and identifies the amount of ingredients used and how to prepare them. All submissions must include the following Contest information: your name, address, city, state, zip code, date of birth and daytime phone number. Submit your recipe and Contest information via www.alouettecheese.com or send your entry including the recipe and Contest information to:

    Limit one recipe entry per household. All entries submitted through the www.alouettecheese.com website must be received within the Entry Period. All mail-in entries must be postmarked by April 24, 2007. Incomplete or multiple entries will be rejected. Sponsor is not responsible for entries that are lost, incomplete, damaged, illegible, late, postage due or misdirected. Employees of Sponsor and its subsidiaries, affiliates and advertising agencies, and their immediate families, are not eligible to enter or win.

  5. COMMUNICATION: Sponsor and Sponsor Entities are not responsible for any inaccuracies in information which may be used in the Contest, for any technical or human error which may occur in the processing of entries, including data entered by potential winners(s), for any entry miscommunications such as technical failures related to computer, telephone, cable and unavailable network or server connections, related technical failures, or other failures related to hardware, software or virus, or for incomplete, late or misdirected entries. Any compromise to the fair and proper conduct of this Contest related to a computer virus, or similar type of technical impairment that may affect the proper fairness, security and administration of the Contest may result in the termination, amendment or modification of the Contest, or portion thereof, at the sole discretion of Sponsor. Sponsor reserves the right, in its sole discretion, to void any entries of a potential winner whom Sponsor believes has attempted to tamper with or impair the administration, security, fairness or proper play of this Contest.

  6. LIMITATION OF LIABILITY: WITHOUT LIMITING THE FOREGOING OR ANYTHING HEREIN TO THE CONTRARY, IN NO EVENT WILL SPONSOR OR SPONSOR'S PARENT CORPORATION, DISTRIBUTORS, AFFILIATES, SUBSIDIARIES, OFFICERS, VENDORS, ADVERTISING AGENCIES AND PROMOTION AGENCIES AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THIS CONTEST, ACCESS TO AND USE OF THE WWW.ALOUETTECHEESE.com WEBSITE OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH WEBSITE. EVERYTHING ON SUCH WEBSITE AND IN THIS CONTEST IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, STATUTORY WARRANTIES, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, AND THEREFORE, SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN CONNECTION WITH THIS CONTEST, YOU HEREBY RELEASE, DISCHARGE AND HOLD HARMLESS SPONSOR AND ANY OF THE PARTIES SET FORTH ABOVE FROM ANY DAMAGES OR LOSSES OF ANY KIND.

  7. CONDITIONS OF PARTICIPATION: By entering into this Contest, you agree and acknowledge (a) that the recipe you enter in the Contest is your own original work of authorship and is unpublished; (b) to be bound by the official rules and the decisions of the Sponsor and independent judges, whose decisions are final; (c) that your name and contact information may be shared with Sponsor’s affiliates and partners for marketing purposes; and (d) that the Sponsor reserves the right to adjust the winning recipes. Any attempt to deliberately damage the content or operation of this Contest is unlawful and subject to legal action by Sponsor or its agents. Any non-compliance with rules and/or conditions will result in disqualification and the selection of an alternate winner.

    As a condition of receiving the applicable prize, The Grand Prize Winner and Second and Third Place Prize Winners must each submit a signed Affidavit of Eligibility and Liability/Publicity Release under which, among other terms, they each (i) assign to the Sponsor all intellectual property rights with respect to their winning recipe submissions, without any additional consideration or compensation to the winners; (ii) acknowledge that Sponsor, as the owner of the intellectual property rights to such recipe submissions, may use the recipe submissions in any media, including the Internet, for commercial, promotional or any other purpose whatsoever, without any additional consideration or compensation to the winners; and (iii) grant Sponsor the right to use their name, address, voice, likeness, photo, biographical information, prize information and/or statements about this Contest for any publicity, advertising and promotional purposes, without additional consideration or compensation to the winners.

  8. THE PRIZES:

    Grand Prize.

    The grand-prize winner will be awarded a six-day/five-night holiday for the winner and his/her guest to Chateau De Berne cooking school in Provence, France. Trip package includes deluxe accommodations (based on double occupancy) for five nights at the Auberge Hotel in Provence, five dinners (beverages not included), four cooking lessons, excursions to local markets and surrounding area, breakfast and lunch daily, wine tasting, air fare and in country ground transportation (in France), car service from winner’s home to airport and home from airport as requested, two round trip coach airline tickets (from the nearest major airport to the grand-prize winner’s home) and a cash allowance of five hundred dollars ($500) for any additional expenses (the “Grand Prize”).  Total approximate retail value of the Grand Prize is ten thousand dollars ($10,000). Specific travel dates and arrangements are subject to availability.  Travel can begin as soon as July 1, 2007 and must be completed by June 30, 2008. In no event will Sponsor's liability with respect to providing the Grand Prize exceed ten thousand dollars ($10,000).

    Second and Third Place Prizes.

    The second and third place winners will receive a set of gourmet cookware with a retail value of approximately five hundred dollars ($500).

    No prize substitution, cash substitution or assignment or transfer of prizes permitted, except by the Sponsor in their sole discretion. Prizes may not be redeemed for cash. If a prize becomes unavailable for any reason, Sponsor reserves the right to substitute a prize of comparable value. All taxes are the responsibility of the winners, and the value of any prize awarded to a winner will be reported for tax purposes as required by law. Each winner must provide Sponsor with valid identification and a valid taxpayer identification number or social security number before a prize will be awarded. Winners will receive an IRS form 1099 at the end of the 2007 calendar year and a copy of such form will be filed with the IRS.

  9. WINNER SELECTION, JUDGING AND NOTIFICATION: One grand-prize winner, one second place prize winner and one third place prize winner will be notified on or about May 31, 2007 based on the sole discretion of a panel of independent judges set up by Sponsor. Judging of submitted recipes will be based upon simplicity, creativity, taste and other factors deemed relevant by the independent judges in their sole discretion. All winners will be notified by Sponsor or its agent via phone. Each winner (and in the case of the Grand Prize winner, his/her guest) is required to submit a signed Affidavit of Eligibility and Liability/Publicity Release. All affidavits/releases must be returned, properly executed, by mail or by fax to an address or fax number provided, within 10 days of attempted notification. If a winner cannot be contacted, fails to timely return the affidavits/releases as specified, declines the prize, or is ineligible, an alternate winner will be selected. In the event of disqualification of the Grand Prize winner, the prize will be forfeited and the second place winner will be selected as the Grand Prize winner. Sponsor and Sponsor Entities are not responsible for notifications that are misdirected because of contact information that is no longer correct, or for any other reason beyond the control of Sponsor. Sponsor reserves the right to verify eligibility qualifications of the winners. Participants agree that Sponsor and its agents have the sole right to determine the winners of the Contest and to settle all matters or disputes arising from the Contest, including but not limited to the awarding of prizes and that the determination of the judges is final and binding. Limit one prize per household.

  10. WAIVER: Sponsor reserves the right in its sole discretion, to cancel, suspend or modify the Contest should fraud, virus, bugs or other causes beyond the control of the Sponsor corrupt the administration, security or proper play of the Contest.

  11. GOVERNING LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these official rules, or your rights and obligations or Sponsor's rights and obligations in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Delaware, U.S.A., without giving effect to the conflict of laws rules thereof.

  12. WINNER LIST: For the name of the Grand Prize Winner, send a stamped, self-addressed envelope to: Alouette® “Make Every Occasion Perfect™” Recipe Contest, P.O. BOX 5918 Villa Park, IL 60181-7297, by June 31, 2007.

The Alouette Cheese web site Privacy Policy applies to the personally identifiable information you submit for the Contest. However, in the event of a conflict between such Privacy Policy and these rules, the rules shall control.
